Nicoletta Kouvara Pantelides is a Partner in the Corporate & Commercial department at Dr. K. Chrysostomides & Co LLC, having joined the firm in 2009 as a Senior Associate. She previously worked for over six years in Cyprus and in London. She is working with domestic and international clients, including banking institutions, funds and international corporations, the majority of which are in the energy, oil, gas, transportation and agricultural sectors.
She is regularly involved in large and complex mergers and acquisitions, where she specialises in drafting joint venture agreements and purchase agreements, restructuring of private and public companies, takeovers particularly in relation to public companies. Certain high profile M&A transactions, included, advising Basel Aero (Basic Element) on its joint venture with Sberbank of Russia and Changi Airports International to invest and develop airports in Russia, including Sochi Airport, and advising Cargill (one of the biggest agricultural companies worldwide) on its acquisition of 25% plus one share of indirect interest in a grain terminal in Russia's port of Novorossiisk.
Nicoletta is particularly involved in the banking and finance practice of the firm, where she regularly advises credit institutions on regulatory compliance, capital requirements, product development and corporate governance, as well as acquisitions of financial institutions, including, that of a credit institution in Cyprus which was listed on the Cyprus Stock Exchange and was delisted in 2015 from the Cyprus Stock Exchange following a successful take-over bid. She advised on and assisted with all aspects of this transaction, including in relation to local banking regulations and licensing requirements, as well as securities and exchange laws and regulations. She deals with complex multi-million cross- border financing transactions, where she has advised international financing institutions, such as Morgan Stanley, Gazprombank and Royal Bank of Scotland, as well as, international corporations involved, inter alia, in the energy, oil, gas, transportation sector.
Nicoletta also specialises in capital markets, where she has been involved in the IPO and secondary rights issue of public companies on regulated and non-regulated markets in Cyprus, Hong Kong and London. She regularly deals with investment management projects, advising on corporate, regulatory and licensing issues relating to all types of investments funds (AIFs, UCITS) and fund managers. She is a member of the Legal and Regulatory Committee of the Cyprus Investment Funds Association (CIFA).
She has been listed and highly recommended in international legal directories, including, Legal 500 EMEA, European Legal Experts and IFLR1000. Chambers Europe and Chambers Global 2016 includes her among the 'Up and coming' ranked lawyers for Banking & Finance and Corporate/Commercial Law.
